SPONSORED BY NEWTON RUNNING COMPANY, INC. 1919 14th Street, Suite 100, Boulder, CO 80302.

1. DRAWING PERIOD FOR FREE SHOES. There will be three periods for the Free Shoe Drawing: Drawing 1 will begin on December 7, 2009 and will end on December 13, 2009 at midnight; Drawing 2 will begin on December 14, 2009 and will end on December 20, 2009 at midnight; Drawing 3 will begin on December 21, 2009 and will end on December 31, 2009 at midnight (collectively the “Drawing Period�) with Mountain Time controlling for all purposes.
2. GRAND PRIZE DRAWING PERIOD. The Grand Prize Drawing Period for the Grand Prize will begin on December 7, 2009 and will end on December 31, 2009 at midnight (the "Grand Prize Drawing Period") with Mountain Time controlling for all purposes.
3. ELIGIBILITY. NO PURCHASE NECESSARY TO ENTER. Open to legal residents of the 50 United States and District of Columbia (excluding residents of Guam, Puerto Rico and all other U.S. territories and possessions) who are 18 years or older at the commencement of the Sweepstakes Period (an "Eligible Participant"); provided that employees and immediate family members (spouses, parents, siblings and children) of employees and people living in the same household as employees of Newton Running Company, Inc. (“Newton� or “Sponsor�) are not eligible to enter. The Drawings are void wherever prohibited or restricted by law. Newton in its sole discretion reserves the right to void any entries that are obtained in contravention of these rules or that are designed to compromise the integrity of any of the Drawings or the Grand Prize Drawing.
4. ENTRIES. LIMIT OF ONE (1) ENTRY PER PERSON. In order to enter the drawing: Eligible Participants may either: (i) visit http://www.newtonrunning.com and purchase items valued at $200 or more to be automatically enrolled in the drawings; or (ii) go to http://www.newtonrunning.com/holiday-2009-registration and submit the on-line application during the Drawing Period. You will be limited to one entry during the Drawing Period when your entry is received, as well as one entry for the Grand Prize Drawing. These will be recorded by the promotion computer. Limit one entry per person/email address for the entire Promotion. Attempted entry by any method other than stated in these Rules is not permitted.
   
   Neither Newton nor its affiliates or promotional partners shall be responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of e-mail, or on account of technical problems or traffic congestion on the Internet. Newton reserves the right to terminate, modify or suspend the Drawing in the event of technical difficulty, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or for any other reason which may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Drawing. In the event of a dispute, Entries will be deemed made by the holder of the e-mail account from which the entry was made. Any Entry that is late or not properly filled out or delivered will not be accepted. An Eligible Participant who submits a properly completed Entry in accordance with the rules of Eligibility within the Drawing Period is considered an "Entrant." All Entries become the property of the Newton and will not be acknowledged or returned. By submitting an Entry, the Entrant acknowledges that he or she has read and understands these Official Rules and agrees that he or she shall be bound by these Official Rules.
5. SELECTION OF WINNER. Winners (each, a "Winner") will be selected from among all Entrants in random drawings to be held December 14, 21, 31, 2009 in Boulder, Colorado for free shoes, and January 4, 2010 in Boulder Colorado for the Grand Prize. Winners will be notified by email and/or telephone within forty-eight (48) hours of the random drawing. Winners will be required to sign and return an Affidavit of Eligibility and a Release (the "Required Documents") within ten (10) days of notification. In the event (i) the Required Documents are not returned within ten (10) days, (ii) notification is returned as undeliverable mail with no forwarding address, or (iii) telephone notification is not confirmed within 24 hours, the Winner in question shall automatically forfeit his or her right to qualify as a Winner and Newton may or may not, in its sole discretion, choose to conduct another random drawing to select a replacement Winner.
6. CONSUMER DISCLOSURE: PRIZE DESCRIPTION; ODDS AND RETAIL VALUE. Each Winner within the drawing periods for the shoes will receive: 1 (one) pair running shoes, retail value $175. Each Winner within the Grand Prize Drawing period will receive: an expense paid trip to Boulder, Colorado, including: one round trip (coach) plane ticket from within the US, lodging for one night (standard room double occupancy) at the Hotel Boulderado, transportation to and from the airport, a pair of Newton Running shoes, a tech top, and running form coaching by Newton Running’s Co-Founder and CTO, Danny Abshire. The Approx. Retail Value (“ARV�) for the Grand Prize is U.S. $1,000. Travel dates for all trips will be at the discretion of the Sponsor. The actual value may vary based upon point of departure and dates of travel. If the winner resides within a 100-mile radius of his/her destination, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. All costs and expenses not specified herein are the sole responsibility of the winner, including, without limitation, meals, travel insurance, room service, laundry service, alcoholic beverages, local and long distance telephone calls, merchandise and souvenirs, incidental expenses, additional tips and gratuities, and all other costs and expenses not otherwise mentioned herein. Travel arrangements must be made through Sponsor’s designee on a carrier of Sponsor’s choice at least three (3) weeks prior to departure. In addition, the winner and his/her travel companions are responsible for obtaining travel insurance (and all other forms of insurance) that he/she may wish to obtain (at their own expense) and hereby acknowledge that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Travel and lodging are subject to availability and restrictions. Certain travel restrictions may apply. Tickets are subject to certain terms and conditions. The odds of winning will depend on the number of valid Entries received. Winners may forfeit their right to qualify as a Winner or to participate in the Drawing, and Newton may or may not, in its sole discretion, choose to conduct additional random drawings to select replacement Winners. Winners may not assign, transfer or substitute prizes, or redeem prizes for cash value. Winners will be responsible for any federal, state and local taxes associated with their prize(s). Winners must sign all the Required Documents and, at Newton’s election, a prize acceptance form within the time specified in order to receive their prize No groups, clubs, or organizations may participate in this offer or reproduce or distribute any portion of these rules or Entries to their members. Taxes on or in connection with prizes are solely the responsibility of winner. Winners must redeem prize by December 31, 2010.
7. LIMITATIONS ON LIABILITY. Newton shall not be responsible for any Entries that are incomplete, illegible, stolen, misdirected, lost, late, damaged, corrupted, postage-due or otherwise not received correctly. Prizes shall be awarded "as is, where is," without warranty of any kind, express or implied, including without limitation any warranty of merchantability or suitability for a particular purpose. By entering, each Entrant agrees to HOLD HARMLESS AND INDEMNIFY Newton and its respective partners, parents, subsidiaries, affiliates, directors, officers, governors, employees, and agents (the "Released Parties") from any and all liability, damages, claims and causes of action (however named or described) with respect to or arising out of (a) Entrant’s participation in these Drawings or while traveling to or from any prize-related activity, an Entry, (d) any typographical or other error in these Official Rules, or (e) the receipt and/or use of any prize by Entrant that may be awarded herein.
8. CONSENT OF USE. Each Entrant hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the publication of Entrant’s name, likeness, photograph, voice, Entry and the like in any medium, whether now known or hereafter developed, including, without limitation, Newton website and in any and all advertising, promotions, and other publicity conducted by Newton, and its respective partners, parents, subsidiaries, affiliates, directors, officers, owners, governors, employees, and agents, except where prohibited by law.
9. WINNERS LIST. Names of the Winners can be obtained by sending a self addressed, stamped envelope to: Newton Running December Drawings, 1919 14th St, Suite 100, Boulder, CO 80302, on or after February 1, 2010.
10. RULES. All decisions as to these Official Rules and interpretations thereof are exclusively within the sole discretion of Newton and may be changed from time to time without notice. Newton reserves the right to cancel or modify the Drawing at any time without notice.
11. DISPUTES. Entrants agree that any dispute or cause of action arising out of or connected with the Drawing shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, which will be conducted in Boulder, Colorado, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees. In addition, no punitive, incidental, special, consequential or other damages, including without limitation lost profits (collectively, "Special Damages") may be awarded and entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. In case of dispute as to identity of a winner, entry will be declared made by the registered user/primary account holder of the e-mail or cell phone account, and, if a prize is won and such registered user/primary account holder is a valid entrant, the prize will be awarded to the registered user/primary account holder.
12. FORCE MAJEURE. Newton shall not be responsible for the cancellation or postponement of any drawing for any reason including, but not limited to, equipment failure or malfunction, electrical service interruption, or any act of God or other "force majeure" event.
