NEWTON RUNNING IRONMAN & 70.3 RACE ENTRY SWEEPSTAKES

OFFICIAL RULES

VOID WHERE PROHIBITED BY LAW.

1. SWEEPSTAKES PERIOD. The Sweepstakes will begin on February 8, 2010 and will end on February 28, 2010 at midnight (the "Sweepstakes Period") with Mountain Time controlling for all purposes.
2. ELIGIBILITY. NO PURCHASE NECESSARY TO ENTER. Open to legal residents of the 50 United States and District of Columbia (excluding residents of Guam, Puerto Rico and all other U.S. territories and possessions) who are 18 years or older at the commencement of the Sweepstakes Period (an "Eligible Participant"); provided that employees and immediate family members (spouses, parents, siblings and children) of employees and people living in the same household as employees of Newton are not eligible to enter. The Sweepstakes is void wherever prohibited or restricted by law.
3. ENTRIES. LIMIT OF ONE (1) ENTRY PER PERSON. In order to enter the Sweepstakes: (1) Eligible Participants may i) visit http://www.newtonrunning.com and purchase items valued at $100 or more to be automatically enrolled in the drawing; or (ii) visit http://www.newton-running.com/register-ironman-2010 and complete and submit the online application during the Sweepstakes Period (each, an " Entry"). You will receive 1 entry into the Sweepstakes when your entry is received and recorded by the Promotion computer. Limit one entry per person/email address for the entire Promotion. Any attempt by any participant to obtain more than one entry by using multiple/different email addresses, identities or any other methods will void that participant’s entries and the participant will be disqualified. Attempted entry by any method other than stated in these Rules is not permitted. Neither Newton nor its affiliates or promotional partners shall be responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of e-mail, or on account of technical problems or traffic congestion on the Internet. Newton reserves the right to terminate, modify or suspend the Sweepstakes in the event of technical difficulty, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or for any other reason which may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes. In the event of a dispute, Entries will be deemed made by the holder of the e-mail account from which the entry was made.
   
   (2) Any Entry that is late or not properly filled out or delivered will not be accepted. An Eligible Participant who submits a properly completed Entry in accordance with this paragraph within the Sweepstakes Period is considered an "Entrant." All Entries become the property of the Newton and will not be acknowledged or returned. By submitting an Entry, the Entrant acknowledges that he or she has read and understands these Official Rules and agrees that he or she shall be bound by these Official Rules.
4. SELECTION OF WINNER. A winner (“Winner�) will be selected from among all Entrants in random drawing to be held on March 1, 2010 in Boulder, Colorado. Winner will be notified by mail and/or telephone within forty-eight (48) hours of the random drawing. Winner will be required to sign and return an Affidavit of Eligibility and a Release (the "Required Documents") within ten (10) days of notification. In the event (i) the Required Documents are not returned within ten (10) days, (ii) notification is returned as undeliverable mail with no forwarding address, or (iii) telephone notification is not confirmed within 24 hours, the Winner in question shall automatically forfeit his or her right to qualify as a Winner and Newton may or may not, in its sole discretion, choose to conduct another random drawing to select a replacement Winner.
5. CONSUMER DISCLOSURE: PRIZE DESCRIPTION; ODDS AND RETAIL VALUE. Winner will receive: 1 (one) entry into a North American WTC event (excluding Ironman Canada) at Newton’s sole discretion, retail value $525. The odds of winning will depend on the number of valid Entries received. Winner may forfeit their right to qualify as a Winner or to participate in the Sweepstakes, and Newton may or may not, in its sole discretion, choose to conduct additional random drawings to select a replacement Winner. Winner may not assign, transfer or substitute prizes, or redeem prizes for cash value. Winner will be responsible for any federal, state and local taxes associated with their prize(s). Winner must sign all the Required Documents and, at Newton’s election, a prize acceptance form within the time specified in order to receive their prize. All necessary transportation and/or accommodations are solely the responsibility of the Winner. Winner is responsible for any and all other expenses including, but not limited to, meals, beverages, transportation, parking and personal purchases. No responsibility is assumed by Newton for canceled, delayed, suspended or rescheduled events. No groups, clubs, or organizations may participate in this offer or reproduce or distribute any portion of these rules or Entries to their members.
6. LIMITATIONS ON LIABILITY. Newton shall not be responsible for any Entries that are incomplete, illegible, stolen, misdirected, lost, late, damaged, corrupted, postage-due or otherwise not received correctly. Prizes shall be awarded "as is, where is," without warranty of any kind, express or implied, including without limitation any warranty of merchantability or suitability for a particular purpose. By entering, each Entrant agrees to HOLD HARMLESS AND INDEMNIFY Newton and its respective partners, parents, subsidiaries, affiliates, directors, officers, governors, employees, and agents (the "Released Parties") from any and all liability, damages, claims and causes of action (however named or described) with respect to or arising out of (a) Entrant’s participation in this Sweepstakes or while traveling to or from any prize-related activity, (b) Entrant’s participation in the WTC event, (c) an Entry, (d) any typographical or other error in these Official Rules, or (e) the receipt and/or use of any prize by Entrant that may be awarded herein.
7. CONSENT OF USE. Each Entrant hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the publication of Entrant’s name, likeness, photograph, voice, Entry and the like in any medium, whether now known or hereafter developed, including, without limitation, Newton website and in any and all advertising, promotions, and other publicity conducted by Newton, and its respective partners, parents, subsidiaries, affiliates, directors, officers, owners, governors, employees, and agents, except where prohibited by law.
8. WINNER LIST. The Name of the Winner can be obtained by sending a self addressed, stamped envelope to: Newton Running Race Entry Sweepstakes, 1300 Walnut St., Suite 100, Boulder, CO 80302, on or after March 15, 2010.
9. RULES. All decisions as to these Official Rules and interpretations thereof are exclusively within the sole discretion of Newton and may be changed from time to time without notice. Newton reserves the right to cancel or modify the Sweepstakes at any time without notice.
10. DISPUTES. Entrants agree that any dispute or cause of action arising out of or connected with the Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, which will be conducted in Boulder, Colorado, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
11. FORCE MAJEURE. Newton shall not be responsible for the cancellation or postponement of any drawing for any reason including, but not limited to, equipment failure or malfunction, electrical service interruption, or any act of God or other "force majeure" event.
